1. Introduction
Welcome to Zenii, an AI-powered application designed to help you visualize your goals, stay motivated with daily affirmations, and track your progress through journaling. These Terms of Service (“Terms”) govern your access to and use of the Zenii app and any related services provided by Shan Hai Jing Yun Inc. (“we,” “us,” or “our”). By downloading, installing, or using Zenni, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the app.
2. Account Registration
- Eligibility: You must be at least 13 years old to use Zenii. By registering, you represent and warrant that you meet this age requirement.
- Account Creation: To access certain features of Zenii, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update your information to keep it accurate and complete.
- Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3. Use of the App

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your User Content for the purpose of operating and improving the app.
- Content Guidelines: You agree that your User Content will not:
- Violate any applicable laws or regulations.
- Be defamatory, obscene, or harmful.
- Infringe on the rights of any third party, including intellectual property rights.
- Removal of Content: We reserve the right to remove or disable access to any User Content that violates these Terms or is otherwise objectionable, at our sole discretion.
5. Subscription and Payments
- Free Access: Zenii offers a free version with limited features. You can use the free version without charge, subject to these Terms.
- Paid Subscriptions: Zenii also offers paid subscription plans that provide access to premium features. By subscribing to a paid plan, you agree to pay the fees specified at the time of purchase. All fees are non-refundable unless otherwise stated in these Terms or required by law.
- Billing: Subscription fees will be billed on a recurring basis, according to the plan you select. You authorize us to charge your payment method on the billing date for the subscription term you have selected.
- Cancellation: You may cancel your subscription at any time through your account settings. Your subscription will remain active until the end of the current billing period, and you will not receive a refund for any unused portion of the subscription term.

- Ownership: The Zenii app, including all software, text, images, and other content provided by us, is owned by Shan Hai Jing Yun Inc. and is protected by intellectual property laws. You may not use our intellectual property without our prior written consent.
- Trademarks: Zenii and the Zenii logo are trademarks of Shan Hai Jing Yun Inc.. You may not use our trademarks without our prior written consent.
7. Disclaimers and Limitation of Liability
- Disclaimers: Zenii is provided “as is” and “as available,” without warranties of any kind, either express or implied. We do not warrant that the app will be uninterrupted, error-free, or free of viruses or other harmful components.
- Limitation of Liability: To the fullest extent permitted by law, Shan Hai Jing Yun Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill, arising out of or related to your use or inability to use the app.
8. Indemnification
You agree to indemnify, defend, and hold harmless Shan Hai Jing Yun Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of Zenii or your violation of these Terms.
9. Termination
- Termination by You: You may terminate your account at any time by discontinuing use of the app and deleting your account through the app settings.
- Termination by Us: We reserve the right to suspend or terminate your access to Zenii at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion.
- Effect of Termination: Upon termination, all licenses and rights granted to you under these Terms will immediately cease, and you must stop all use of Zenii. Sections 4, 6, 7, 8, and 9 of these Terms will survive termination.
10. Changes to These Terms
We may update these Terms from time to time. Any changes will be posted within the app and, where appropriate, notified to you via email. By continuing to use Zenii after the changes become effective, you agree to be bound by the revised Terms.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the courts of Santa Clara County, California.
